Leaders in RPG, Action and Adventure Genres; Ten Franchises in Development - Six Wholly Owned

REDWOOD CITY, Calif.--(BUSINESS WIRE)--Electronic Arts Inc. (NASDAQ:ERTS - News) today announced an agreement with Elevation Partners to acquire VG Holding Corp. -- the owner of both BioWare Corp. and Pandemic Studios. This acquisition gives EA a strong competitive position in key genres in interactive entertainment: action, adventure and role-playing games. The two studios have been recognized for creating some of the highest-quality games in the industry.

BioWare Corp. and Pandemic Studios have ten franchises under development, including six wholly owned games. BioWare Corp. is currently developing the highly anticipated Mass Effect, which will be published by Microsoft in November, and is in the early development stages of a massively multiplayer online game. Pandemic Studios is redefining open-world games with its upcoming Mercenaries 2: World in Flames(TM) and Saboteur(TM), in addition to several unannounced projects.

Pandemic Studios and BioWare Corp. employ roughly 800 people across four studios located in Edmonton, Canada; Los Angeles; Austin; and Brisbane, Australia.

"These are two of the most respected studios in the industry and I'm glad to be working with them again. They'll make a strong contribution to our strategic growth initiatives on quality, online gaming and developing new intellectual properties," said John Riccitiello, EA's Chief Executive Officer. "We also expect this will drive long-term value for our shareholders."

Pandemic Studios is led by Andrew Goldman, Josh Resnick and Greg Borrud. BioWare Corp. is jointly led by Greg Zeschuk and Ray Muzyka. These teams will join the EA(TM) Games Label run by Frank Gibeau, President of EA Games.

EA will pay up to $620 million in cash to the stockholders of VG Holding Corp. and will issue up to an additional $155 million in equity to certain employees of VG Holding Corp., which will be subject to time-based or performance-based vesting criteria. EA will also assume outstanding VG Holding Corp. stock options. In addition, EA has agreed to lend VG Holding Corp. up to $35 million through the closing of the acquisition.

It's like watching a life imitating art rendition of Pacman. EA MS is Pacman, small developers are the pellets and Ubisoft, Activision, Capcom and Konami are the ghosts.

Anyways... EA is ruining my fanboy dreams in video games. I almost hate being a gamer at times with them running the video game industry into the ground for originality. Outside of Skate and Rock Band, they haven't offered much in terms of originality (even then, both are genres that work in today's landscape).

i guess it's good news for us ps3 owners... either that or irrelevant news for us

Godfather: Black Hand Edition was pretty damn good and while Boogie was a great original IP in theory, execution was piss poor.

To me they've done better so far this gen than last gen but I'd still like to see what those studios could independent.

Those numbers were reported earlier today already.

EA will pay up to USD 620 million in cash to the stockholders of VG Holding Corp. and will issue up to an additional USD 155 million in equity to certain employees of VG Holding Corp., subject to time-based or performance-based vesting criteria.

EA will also assume outstanding VG Holding Corp. stock options and has agreed to lend VG Holding Corp. up to USD 35 million through the closing of the acquisition.

That pretty much sucks, I don't hate EA as much as most people around here, but they do have a way of running good games into the ground....

Sorry, not really big news to PS3 owners as of right now

Frank Gibeau, president of the games label, said EA expects games to be created in "10 plus" franchises as well as the MMO that Bioware's Austin office is working on.

Of the ten plus franchises there are many titles that have not yet been announced but will be in the near future. They do include Jade Empire, Mass Effect, Mercenaries, Saboteur, Neverwinter Knights and several others.

EA said Bioware and Pandemic have several titles that have been targeted for the DS and the Wii.

The dialog engine in Mass Effect which could be used for other games in the future.

EA brings a lot to the table in the deal, Riccitiello says. They can "offer them the leverage of the world's best publisher", much more in the way of online and much more in the way of mobile.

"We are not in the open world action adventure business, these guys are leaders. Strong intellectual properties and talent."

Of the ten titles that the EA folks referenced earlier, the games are expected to be spread out from now to 2011.

Well BigBig too (ok, was last month, but ... don't care^^)

First of all, it is called Neverwinter NIGHTS (no knights here) and secondly, NWN was published by Atari, so I guess, the IP is owned or at least partially owned by them... (AND Bioware did not develop NWN2 btw, Obsidian did).

So far this gen I have bought...1 EA game, fight night round 3 for 15$. I hate EA, they are a big butter churn that churns out shit all year long.

Well there goes any chance of a Good Bioware game in the Future, EA turns every dev they buy up into shit...... I hate EA there games suck and when they have a Hit they run into the Ground.

I think this is fantastic for EA, and EA is a pretty decent company, they are sticking to their guns for the most part and are trying to branch off into new genres and IPs.

This is a bit bad for Microsoft, they can't do anything with Bizarre anymore unless Activision allows it, and after Mass Effect, Bioware can't really do much for MS in terms of exclusives. I am not sure though, I think Mass Effect is still completely 360 exclusive, the entire trilogy, but EA told me it was to early "to tell", and I yet to hear back from MS and Bioware.

Does anyone but me get the feeling that all of this stuff happening that used to be Xbox-centric developers going 3rd party or independent in Bungie's case point to Microsoft just saying fuck it and throwing in the towel? Shit like this happened before SEGA called quits too...

I personally think it's bad for everyone but EA, though if MS loses publishing rights for future Mass Effects that could be bad for them. Pandemic makes game for just about everyone (I think, looking at there list of released games), so maybe we will get lucky and this will just seem like business as usual for them and EA won't mess with them to much....

For those who haven't been paying attention, EA does not acquire dev houses to "not mess with them too much." Bioware and Pandemic as we knew them are dead. Gone. Forever. EA will suck the creativity and the joy right out of these developers and their games, and after a few years, bury the brand name. Welcome to the current hostile landscape of our beloved video game industry.
